This website is owned by Octobre Liquidity Guarantee Facility SCSp, SICAV RAIF, an investment company with variable capital – reserved alternative investment fund (société d’investissement à capital variable – fonds d’investissement alternatif réservé) (SICAV-RAIF) organised as a société en commandite  spéciale (special limited partnership), having its registered office at 7, rue Robert Stümper, L-2557, Luxembourg, Grand Duchy of Luxembourg and registered with the Luxembourg Trade and Companies Register (Registre de Commerce et des Sociétés de Luxembourg – RCS) under number B283.137 acting through its general partner Octobre Liquidity Guarantee Facility GP s.à r.l., a private limited company (société à responsabilité limitée) having its registered office at 7, rue Robert Stümper, L-2557, Luxembourg, Grand Duchy of Luxembourg and registered with the RCS under number B 282.991 (the “General Partner”) acting in its capacity as managing general partner (actionnaire gérant commandité) of Octobre Liquidity Guarantee Facility SCSp SICAV-RAIF (the “Fund” or “OLGF”), and is jointly controlled by the Fund, the General Partner and Innpact Fund Management S.A., a public limited liability company (société à responsabilité limitée) incorporated under the laws of the Grand Duchy of Luxembourg, having its registered office at 5, rue Jean Bertels, L-1230 Luxembourg, Grand Duchy of Luxembourg, registered with the Luxembourg trade and companies register under number B238.136, acting as alternative investment fund manager of the Fund according to the Luxembourg law of 12 July 2013 (“Innpact AIFM”), (together referred to as “we”, “our”, “us”)

Potential Investors

The Fund is registered in the Grand Duchy of Luxembourg as an investment company with variable capital – reserved alternative investment fund subject to Luxembourg act of 23 July 2016 on reserved alternative investment funds, as may be amended from time to time (the “RAIF Law”). The Fund issues interests and notes and is reserved for qualified investors meaning, with respect to the interests, only professional investors as defined under Annex II of the Directive 2014/65/EU of the European Parliament and of the Council on 15 May 2014 on markets in financial instruments and amending Directive 2002/92/EC and Directive 2011/61/EU, and with respect to the notes, institutional investors, professional investors and/or well-informed investors as defined under article 2 of the RAIF Law, as both the preceding terms may be amended or supplemented from time to time. The distribution of interests and notes in the Fund may be restricted in certain jurisdictions. In particular, interests and notes of the Fund may not be offered, sold or transferred, directly or indirectly, in the United States of America or its territories or possessions or areas subject to its jurisdiction, or to citizens or residents thereof (‘US Persons’) other than in accordance with the laws of the United States.
